1. Introduction

1.1 These Terms and Conditions (“Terms”) govern the provision of the GCSE Maths Accelerator programme by Minimat Services – FZCO (“Company”, “we”, “us”) to the purchaser (“Client”, “you”).
1.2 By placing an order, making any payment, or accessing our services, you confirm that you have read and agree to these Terms.

2. Services

2.1 We provide a programme that may include live group lessons, office hours, exam-practice classes, one-to-one coaching, support from additional tutors, learning resources, and access to lesson replays and recordings (together, the “Materials”).
2.2 We may update the format, tutors, timetable, or delivery method to improve quality or comply with law. Any change will not materially reduce the overall value of the programme.

3. Fees, Payment and Access

3.1 Fees are due as stated at checkout. If you select a payment plan, all instalments are a debt payable in full, even if you stop attending.
3.2 Access to the Materials is granted once payment is received. Seats are limited and your payment reserves a place in the cohort.
3.3 Refunds. Fees are non-refundable, including (without limitation):
a) a decision to discontinue GCSE Maths or Science;
b) school policies discouraging external tutoring;
c) timetable or availability changes on your side;
d) any other change of mind.
3.4 Nothing in these Terms affects rights you may have under UK consumer law.

Cooling-off waiver (UK distance-selling):
3.5 By ticking the box at checkout you request that services and access start immediately. You acknowledge that once access is provided you lose the 14-day right to cancel that would otherwise apply to distance contracts.

4. Term and Termination

4.1 These Terms start on the date you place an order and continue for the duration of the programme.
4.2 You may end your participation at any time by written notice, but no refund will be due and any unpaid instalments remain payable.
4.3 We may suspend or terminate access immediately if you breach these Terms, act abusively, infringe rights, or act unlawfully.
4.4 If we discontinue the programme, we will give reasonable notice. You will retain access to available recordings until the stated end date.

5. Your Responsibilities

5.1 You warrant that you are authorised to enter into these Terms and that all information provided is accurate and not misleading.
5.2 You will use the Materials for personal educational purposes only and will not copy, distribute, or share access.

6. Intellectual Property

6.1 All intellectual property rights in the programme and Materials are owned by us or our licensors.
6.2 We grant you a personal, non-transferable, revocable licence to use the Materials for your own study during the programme.

7. Limitation of Liability

7.1 We do not guarantee particular grades or outcomes.
7.2 We are not liable for indirect or consequential loss, including loss of profit, data, or reputation.
7.3 Our total aggregate liability arising out of or in connection with the programme will not exceed the fees paid by you to us in the six months preceding the event giving rise to the claim.
7.4 Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be limited.

8. Indemnity

8.1 You agree to indemnify and hold us harmless from claims, losses, damages, costs, and expenses arising from your breach of these Terms or improper use of the Materials.

9. Assignment

9.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights on notice.

10. Force Majeure

10.1 Neither party is liable for delay or failure to perform due to events beyond reasonable control, including acts of God, strikes, outages, or governmental action.

11. Notices

11.1 Formal notices must be sent by email to the addresses provided in the order confirmation or any updated address notified in writing.

12. General

12.1 These Terms constitute the entire agreement and supersede prior discussions.
12.2 Headings are for convenience only.
12.3 If any provision is held invalid, the remainder will continue in full force.
12.4 No third party has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
12.5 Sections that by their nature should survive termination will do so, including payment obligations, intellectual property, and limitation of liability.

13. Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of England and Wales.
13.2 The courts of England and Wales have exclusive jurisdiction over any dispute arising from or related to these Terms.
